Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you and FoodPlug E-Service Inc. (“FoodPlug,” “we,” “us,” or “our”) concerning your access to and use of the FoodPlug website, vendor tools, public storefronts, guest checkout, administrative tools, and related services collectively referred to as the “Services.”
Please read these Terms carefully. By accessing or using the Services, creating an account, creating or managing a storefront, or submitting an order, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use the Services.
1. About FoodPlug
FoodPlug is a vendor-first commerce platform that helps independent food vendors:
- Create and share public storefronts.
- Publish products, menus, batches, prices, and availability.
- Receive customer orders.
- Manage pickup or delivery information.
- Track orders and manual payments.
- Maintain customer and transaction records.
- View basic sales and payment reports.
FoodPlug provides the technology that connects vendors and buyers. Unless we expressly state otherwise, FoodPlug does not prepare, manufacture, package, inspect, store, sell, deliver, or take ownership of food or other products listed by vendors.
2. Definitions
In these Terms:
- “Buyer” means a person who views a storefront, submits an order, or purchases products from a Vendor through the Services, including through guest checkout.
- “Vendor” means an independent business or individual using FoodPlug to publish a storefront, offer products, receive orders, or manage business activity.
- “Vendor User” means a Vendor owner, authorized staff member, or other person permitted to access a Vendor account.
- “Order” means an order request submitted by a Buyer to a Vendor using the Services.
- “Vendor Content” means information or materials submitted by or on behalf of a Vendor, including names, descriptions, logos, photographs, product information, menus, prices, pickup locations, and payment instructions.
- “User” means any person who accesses or uses the Services, including a Buyer, Vendor User, or administrator.
3. Eligibility
You may use the public portions of the Services only if you can legally enter into the transaction you are attempting to complete.
To create or manage a Vendor account, you must:
- Be at least 18 years old or the age of majority in your jurisdiction.
- Have authority to act for the Vendor.
- Be legally permitted to operate the business and offer the listed products.
- Provide accurate and complete information.
A parent or legal guardian must supervise any use of the Services by a minor where permitted by law.
You may not use the Services if applicable law prohibits you from doing so or if FoodPlug has previously suspended or terminated your access.
4. Accounts and Account Security
Some parts of the Services require an account.
You agree to:
- Provide accurate, current, and complete account information.
- Keep your account information up to date.
- Protect your password, email account, devices, and authentication credentials.
- Restrict account access to authorized persons.
- Notify FoodPlug promptly if you suspect unauthorized access or a security incident.
- Accept responsibility for activity performed through your account, except to the extent caused by FoodPlug or otherwise provided by law.
You must not share an administrator account or permit another person to impersonate you.
FoodPlug may require verification of account ownership or authority before restoring access, changing sensitive information, or responding to certain requests.
5. Vendor Accounts and Storefronts
A Vendor may create a public storefront and share its storefront or product links through social media, messaging services, community groups, websites, or other channels.
Vendor storefronts may display information such as:
- Business or display name.
- Business description.
- Products, menus, batches, prices, and availability.
- Product variants or pack sizes.
- Images and logos.
- City, region, and service area.
- Pickup locations and instructions.
- Delivery availability.
- Contact information.
- Website and social-media links.
- Interac e-Transfer details and payment instructions.
- Verification status.
Vendors are responsible for deciding which business and contact information to make public. Vendors must not publish a private home address, private contact detail, or other personal information unless they have intentionally chosen to make it publicly accessible and have the right to do so.
FoodPlug may impose reasonable account, product, usage, or feature limits, including limits based on a Vendor’s verification status, account status, plan, or platform risk.
6. FoodPlug’s Role
The Vendor—not FoodPlug—is the seller of products offered through a Vendor storefront.
Any sale, fulfilment arrangement, refund, replacement, or other product-related agreement is between the Buyer and the Vendor, except where FoodPlug expressly agrees otherwise in writing.
FoodPlug:
- Provides the platform used to publish listings and exchange order information.
- May provide calculations, records, reports, and administrative tools.
- May help Users communicate or resolve platform-related issues.
- May review Vendors and take action to protect the platform.
- Does not guarantee that a Vendor will accept or fulfil an Order.
- Does not guarantee the identity, legality, licensing, reliability, quality, safety, or suitability of a Vendor or its products.
- Is not a courier, delivery company, restaurant, food manufacturer, payment institution, tax adviser, or food-safety regulator.
A verification badge or Vendor status is a platform trust signal only. It is not a warranty, certification, endorsement, or guarantee of the Vendor or its products.
Nothing in these Terms changes any responsibility FoodPlug has under applicable law based on the actual role it performs.
7. Vendor Responsibilities
Each Vendor is solely responsible for its business and products, including:
- Maintaining all registrations, permits, licences, certifications, and insurance required by law.
- Complying with food-safety, public-health, packaging, storage, transport, labelling, consumer-protection, accessibility, employment, and other applicable requirements.
- Ensuring that products are safe, lawful, accurately described, and fit for their intended sale.
- Providing accurate prices, quantities, availability, ingredients, allergen information, weights, pack sizes, images, pickup details, and delivery details.
- Clearly disclosing material conditions before an Order is submitted.
- Keeping listings and availability current.
- Reviewing, accepting, rejecting, preparing, and fulfilling Orders.
- Communicating delays, substitutions, cancellations, pickup changes, or delivery issues.
- Collecting and remitting applicable taxes.
- Issuing receipts where required.
- Managing refunds, credits, replacements, charge disputes, and customer complaints.
- Protecting Buyer information and using it only for legitimate order, fulfilment, accounting, legal, and customer-service purposes.
- Complying with applicable privacy and electronic-communications laws when exporting or using customer information outside FoodPlug.
Vendors must not use customer information obtained through FoodPlug for unrelated marketing unless they have a lawful basis and any consent required by law.
8. Food Safety, Allergens, and Product Information
Vendors are responsible for providing legally required food and allergen information.
FoodPlug does not independently verify:
- Ingredients.
- Allergy statements.
- Cross-contamination risks.
- Nutrition information.
- Dietary, religious, or cultural claims.
- Product origin.
- Preparation methods.
- Storage conditions.
- Food-safety practices.
Buyers with allergies, intolerances, medical conditions, dietary restrictions, or other concerns should contact the Vendor directly before ordering or consuming a product.
The absence of an allergen warning does not guarantee that a product is free from an allergen or cross-contamination risk.
Nothing in these Terms excludes responsibility that cannot legally be excluded, including a Vendor’s obligations relating to unsafe, contaminated, mislabelled, or defective products.
9. Prohibited Products and Activities
Users may not use FoodPlug to offer, purchase, promote, or facilitate:
- Illegal, stolen, counterfeit, recalled, adulterated, contaminated, expired, or unsafe products.
- Products that cannot legally be sold, transported, picked up, or delivered in the applicable jurisdiction.
- Prescription drugs, controlled substances, illegal drugs, tobacco, nicotine products, cannabis, or related restricted products.
- Alcohol unless FoodPlug has expressly enabled the category and the Vendor complies with all licensing, age-verification, delivery, and jurisdictional requirements.
- Weapons, explosives, hazardous materials, or other dangerous products.
- Products that infringe intellectual-property, privacy, publicity, or other third-party rights.
- Fraudulent transactions, money laundering, payment manipulation, or deceptive business practices.
- Listings or conduct that discriminate unlawfully, threaten, harass, exploit, or harm another person.
- Any activity that violates applicable food, health, tax, consumer-protection, privacy, sanctions, trade, or criminal laws.
FoodPlug may remove a listing, restrict a feature, cancel platform access, or refer a matter to appropriate authorities where reasonably necessary.
10. Orders
A Buyer may submit an Order through a Vendor’s storefront without creating a Buyer account where guest checkout is available.
Submitting an Order:
- Sends an order request to the Vendor.
- Does not guarantee that the Vendor will accept or fulfil it.
- Creates an Order record in FoodPlug.
- Authorizes FoodPlug to share the Order and fulfilment information with the Vendor.
- Requires the Buyer to provide accurate contact and fulfilment information.
The Vendor may accept, reject, cancel, or update an Order according to its policies, product availability, applicable law, and the status options available in FoodPlug.
If a Vendor cannot fulfil an Order, the Vendor must promptly notify the Buyer and address any payment already received.
FoodPlug may reject, pause, or cancel the platform processing of an Order where reasonably necessary to address suspected fraud, technical errors, prohibited activity, legal requirements, or platform safety. FoodPlug does not guarantee that it can stop or reverse a payment made directly to a Vendor.
11. Buyer Responsibilities
Buyers agree to:
- Provide accurate name, phone, email, pickup, and delivery information.
- Review the storefront, product details, price, fulfilment method, and Vendor instructions before ordering.
- Pay the Vendor using an agreed payment method.
- Be available for an agreed pickup or delivery.
- Follow reasonable food storage, handling, reheating, preparation, and consumption instructions.
- Communicate promptly with the Vendor about errors, delays, allergies, substitutions, or fulfilment problems.
- Treat Vendors and other Users respectfully.
- Use the Services only for lawful personal or business purposes.
Buyers must not submit fraudulent Orders, false payment confirmations, abusive messages, or Orders they do not intend to complete.
12. Prices, Fees, and Taxes
Vendors are responsible for setting their product prices.
FoodPlug may display:
- Product and variant prices.
- Quantities and line totals.
- Subtotals.
- Vendor-configured taxes.
- Delivery, service, or other disclosed charges.
- Order totals.
All amounts are shown in Canadian dollars unless clearly stated otherwise.
Vendors must ensure that advertised prices and mandatory charges are accurate and clearly disclosed. Mandatory non-government charges must not be hidden or added in a misleading manner.
FoodPlug’s tax calculations and reports are informational tools based on Vendor-provided settings and available platform rules. They are not tax, accounting, or legal advice. Vendors remain responsible for determining whether tax applies, using correct rates, registering where required, issuing compliant documentation, and remitting tax.
FoodPlug may introduce Vendor subscription plans, transaction fees, or other paid services. Any applicable FoodPlug fee will be disclosed before the Vendor agrees to it. FoodPlug will not begin recurring billing unless the Vendor has expressly agreed to the applicable paid plan or service.
13. Manual Payments
FoodPlug currently supports the recording and communication of payments made outside the platform, including:
- Interac e-Transfer.
- Cash.
- Bank transfer.
- Mobile money.
- Other Vendor-arranged payment methods.
Unless FoodPlug expressly states otherwise:
- The Buyer pays the Vendor directly.
- FoodPlug does not receive, hold, transmit, settle, or safeguard the Buyer’s funds.
- FoodPlug does not process or store payment-card numbers.
- A payment status displayed in FoodPlug may be entered or confirmed manually by the Vendor.
- FoodPlug does not independently verify that a payment was made or received.
- Bank, transfer, and payment-provider rules may also apply.
Buyers must carefully verify the Vendor and payment destination before sending money. Buyers should not include passwords, banking credentials, card information, or security answers in FoodPlug notes or payment references.
A Vendor that receives payment for an Order it rejects or cannot fulfil is responsible for providing any refund required by its policy or applicable law.
14. Pickup and Delivery
Vendors determine which pickup or delivery options they offer.
Unless FoodPlug expressly states otherwise:
- Pickup and delivery are arranged by the Vendor and Buyer.
- FoodPlug does not take possession of products.
- FoodPlug does not employ or control the Vendor’s delivery personnel.
- FoodPlug does not guarantee pickup or delivery times.
- Delivery addresses and pickup locations are provided for fulfilment purposes.
Vendors are responsible for maintaining appropriate product temperatures, packaging, handling, storage, and transportation.
Buyers are responsible for providing accurate fulfilment information, attending pickup or receiving delivery as agreed, and promptly storing products safely after receipt.
15. Cancellations, Refunds, Replacements, and Disputes
Because many food products are perishable or made to order, cancellation and refund options may be limited after a Vendor accepts an Order, purchases ingredients, begins preparation, or allocates stock.
Each Vendor is responsible for clearly communicating its cancellation, refund, replacement, and no-show policies.
Subject to applicable law:
- Buyers should first contact the Vendor regarding a product, fulfilment, payment, refund, or replacement issue.
- Vendors are responsible for resolving disputes concerning their products and Orders.
- FoodPlug may provide support or platform records but is not required to decide the dispute.
- FoodPlug cannot reverse an Interac e-Transfer, cash payment, bank transfer, or other payment made outside FoodPlug.
- FoodPlug does not guarantee a refund, replacement, credit, or particular dispute outcome.
Nothing in these Terms limits a Buyer’s non-waivable rights or remedies under applicable consumer-protection or sale-of-goods laws.
16. Vendor Verification and Platform Administration
FoodPlug may review or verify Vendor information and may assign statuses such as unverified, pending review, verified, rejected, suspended, or other similar statuses.
FoodPlug may request reasonable information to:
- Confirm identity or authority.
- Review a business or storefront.
- Investigate a complaint.
- Prevent fraud or misuse.
- Meet legal or platform-safety requirements.
FoodPlug may approve, reject, limit, suspend, or revoke Vendor access or verification where reasonably necessary.
FoodPlug’s verification process is limited and may rely on information provided by the Vendor. Verification does not transfer the Vendor’s responsibilities to FoodPlug.
17. User Content and Vendor Content
You retain ownership of content you submit to FoodPlug.
You grant FoodPlug a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, adapt for technical purposes, display, transmit, and distribute your content only as reasonably necessary to:
- Operate and provide the Services.
- Display and share your storefront or listings.
- Process Orders.
- Maintain backups and platform records.
- Secure, support, test, and improve the Services.
- Promote your storefront or the FoodPlug platform using content you have made public.
This licence ends when the content is deleted from active systems, except where continued retention is reasonably necessary for legal obligations, transaction records, security, dispute resolution, or backups.
You represent that:
- You own the content or have permission to use it.
- The content is accurate and lawful.
- The content does not violate intellectual-property, privacy, publicity, confidentiality, or other rights.
- FoodPlug’s permitted use of the content will not violate another person’s rights.
FoodPlug may remove or restrict content that violates these Terms, applicable law, or another person’s rights.
18. Intellectual Property
The Services, including FoodPlug’s software, designs, interfaces, text, graphics, logos, trademarks, data compilations, and other platform materials, are owned by or licensed to FoodPlug and are protected by applicable intellectual-property laws.
Subject to these Terms, FoodPlug grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for their intended purposes.
You may not, except where applicable law expressly permits:
- Copy, sell, sublicense, lease, or commercially exploit the Services.
- Reverse engineer, decompile, or attempt to extract source code.
- Circumvent access controls or technical restrictions.
- Scrape, crawl, harvest, or systematically extract platform data without written permission.
- Use FoodPlug branding in a misleading or unauthorized manner.
- Create a competing database from FoodPlug content.
- Use the Services to train a commercial artificial-intelligence system without written permission.
No rights are granted except those expressly stated in these Terms.
19. Copyright and Rights Complaints
A person who believes content on FoodPlug infringes their copyright, trademark, privacy, or other rights may contact us at hello@myfoodplug.ca.
The notice should include:
- Identification of the protected work or right.
- Identification and location of the disputed content.
- The complainant’s contact information.
- A description of why the use is unauthorized or unlawful.
- A statement that the information provided is accurate.
FoodPlug may remove or restrict disputed content, request additional information, notify the User who submitted it, or take other appropriate action.
20. Acceptable Use
You must not:
- Use the Services for unlawful, fraudulent, deceptive, or abusive purposes.
- Impersonate another person or misrepresent your authority or affiliation.
- Access another User’s account or data without permission.
- Attempt to bypass authentication, authorization, rate limits, or security controls.
- Probe, scan, or test system vulnerabilities without written authorization.
- Introduce malware, harmful code, automated attacks, or excessive traffic.
- Interfere with the operation, integrity, or availability of the Services.
- Harvest personal information or contact Users for unauthorized purposes.
- Send spam or communications that violate applicable law.
- Manipulate Orders, reports, payments, reviews, verification, analytics, or platform records.
- Use bots or automated tools in a manner that burdens or harms the Services.
- Assist another person in doing anything prohibited by these Terms.
21. Privacy
Our collection, use, retention, and disclosure of personal information are described in our Privacy Policy.
By submitting an Order, a Buyer understands that FoodPlug will provide the Buyer’s contact, Order, pickup, or delivery information to the Vendor so the Vendor can process and fulfil the Order.
Vendors must handle Buyer information in accordance with applicable privacy law and the restrictions in these Terms.
22. Electronic Communications
You agree that FoodPlug may send administrative and service-related communications concerning:
- Account access and security.
- Orders and platform activity.
- Service availability.
- Support requests.
- Changes to the Services, these Terms, or the Privacy Policy.
- Legal, privacy, or security notices.
Service messages may be sent even where you have opted out of marketing communications.
Marketing communications will be sent only where permitted by law and where any required consent has been obtained. Marketing messages will include an available unsubscribe method.
Standard internet, messaging, or mobile-data charges may apply.
23. Third-Party Services and Links
The Services may link to or interact with third-party services, including:
- Banks and payment services.
- Social-media and messaging platforms.
- Vendor websites.
- Analytics and error-monitoring providers.
- Mapping, hosting, communication, or other technology providers.
FoodPlug does not control third-party services and is not responsible for their availability, content, security, terms, or privacy practices.
Your use of a third-party service is governed by your agreement with that third party.
24. Feedback
You may provide suggestions, ideas, comments, or other feedback about FoodPlug.
You agree that FoodPlug may use, reproduce, modify, and incorporate feedback into its products and services without restriction or compensation, provided that FoodPlug does not publicly identify you as the source without permission.
Do not provide feedback containing confidential information you do not have authority to disclose.
25. Beta Features and Service Changes
FoodPlug may release beta, preview, experimental, or incomplete features.
Such features may:
- Contain errors.
- Change without notice.
- Have limited support.
- Be removed or replaced.
- Be subject to additional terms.
FoodPlug may modify, add, suspend, or discontinue a feature or part of the Services. Where reasonably practical, we will provide notice of a material change that significantly affects active Vendors.
26. Suspension and Termination
You may stop using the Services at any time.
FoodPlug may restrict, suspend, or terminate access where reasonably necessary, including where:
- You violate these Terms.
- Information you provide is materially inaccurate or misleading.
- You fail to pay an agreed FoodPlug fee.
- Your activity creates legal, security, fraud, reputational, or operational risk.
- A government authority or applicable law requires action.
- Your use harms a Buyer, Vendor, FoodPlug, or another person.
- FoodPlug discontinues the applicable Service.
Where appropriate, FoodPlug may provide notice and an opportunity to correct the issue. Immediate action may be taken where necessary to protect Users, data, funds, food safety, platform security, or legal compliance.
Termination may prevent access to account data. Vendors should maintain appropriate copies of records they are legally required to retain.
Sections that by their nature should survive termination will survive, including provisions concerning payments, intellectual property, confidentiality, disclaimers, liability, indemnity, disputes, and retained transaction records.
27. Service Availability and Security
FoodPlug works to keep the Services available and secure, but does not guarantee uninterrupted, error-free, or completely secure operation.
The Services may be unavailable due to:
- Maintenance.
- Updates.
- Hosting or network failures.
- Security incidents.
- Third-party outages.
- Events beyond FoodPlug’s reasonable control.
Users are responsible for maintaining compatible devices, internet access, backups, and reasonable security practices.
FoodPlug may impose emergency restrictions or temporarily disable functionality to protect Users or the platform.
28. Disclaimers
To the maximum extent permitted by law:
- The Services are provided on an “as is” and “as available” basis.
- FoodPlug does not guarantee that listings, Vendor information, availability, prices, tax settings, reports, payment statuses, or Order information are complete, accurate, or current.
- FoodPlug does not guarantee the quality, safety, legality, condition, ingredients, allergens, preparation, delivery, or suitability of Vendor products.
- FoodPlug does not guarantee the identity, conduct, reliability, licensing, or performance of a Vendor or Buyer.
- FoodPlug does not provide legal, tax, accounting, medical, nutrition, food-safety, or regulatory advice.
- Reports and calculations must be independently reviewed before being used for tax, accounting, compliance, or business decisions.
Nothing in these Terms excludes any condition, warranty, right, or remedy that cannot lawfully be excluded.
29. Limitation of Liability
To the maximum extent permitted by law, FoodPlug and its directors, officers, employees, affiliates, contractors, and agents will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, business, goodwill, opportunity, data, or anticipated savings arising from or relating to the Services.
Without limiting the preceding paragraph, FoodPlug is not responsible for losses arising from:
- A Vendor’s product, food preparation, handling, storage, labelling, allergen disclosure, pickup, or delivery.
- A Buyer’s or Vendor’s acts or omissions.
- Payments made directly between Buyers and Vendors.
- Vendor cancellation, non-fulfilment, delay, substitution, refund, or dispute.
- Inaccurate Vendor Content or tax settings.
- Unauthorized account access caused by a User’s failure to protect credentials.
- Third-party websites, banks, messaging services, or payment systems.
- Service interruptions or events beyond FoodPlug’s reasonable control.
To the maximum extent permitted by law, FoodPlug’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:
- CAD $100; or
- The fees paid directly to FoodPlug by the person making the claim during the 12 months before the event giving rise to the claim.
These limitations do not apply to liability that cannot legally be limited or excluded. Consumer rights and remedies that cannot be waived remain unaffected.
30. Indemnity for Vendors and Business Users
If you are a Vendor or use the Services for business purposes, you agree, to the extent permitted by law, to defend, indemnify, and hold harmless FoodPlug and its directors, officers, employees, affiliates, contractors, and agents from claims, liabilities, damages, losses, penalties, costs, and reasonable legal fees arising from or relating to:
- Your products, listings, preparation, storage, packaging, labelling, sale, pickup, or delivery.
- Foodborne illness, contamination, allergens, injury, or property damage associated with your products or operations.
- Your taxes, licences, registrations, permits, employment obligations, or regulatory compliance.
- Your Vendor Content.
- Your handling or misuse of customer information.
- Your breach of these Terms.
- Your violation of law or another person’s rights.
- A dispute between you and a Buyer or other third party.
FoodPlug will provide reasonable notice of an indemnified claim and may participate in its defence. You may not settle a claim in a way that admits wrongdoing or imposes obligations on FoodPlug without FoodPlug’s written consent.
31. Governing Law and Disputes
Before starting formal proceedings, you and FoodPlug agree to make a reasonable effort to resolve the dispute informally by contacting hello@myfoodplug.ca.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Subject to any non-waivable rights or jurisdiction available under applicable consumer-protection law, the courts located in Ontario will have jurisdiction over disputes arising from these Terms or the Services.
Nothing in this section:
- Requires a consumer to waive a statutory right or remedy.
- Prevents a consumer from bringing a claim in a court or forum available under applicable law.
- Prevents the parties from agreeing to mediation or another dispute-resolution process after a dispute arises.
32. Changes to These Terms
FoodPlug may update these Terms to reflect changes to the Services, business model, law, security practices, or operational requirements.
We will post the updated Terms and revise the “Last updated” date.
For material changes, FoodPlug will provide additional notice where reasonably appropriate or required by law. Where applicable law requires express consent, we will request it.
Continued use of the Services after updated Terms become effective constitutes acceptance only to the extent permitted by law.
33. General Terms
These Terms and the Privacy Policy constitute the entire agreement between you and FoodPlug concerning the Services, except for any additional written terms that apply to a specific feature, promotion, paid plan, or service.
If there is a conflict, the more specific additional terms will apply to the relevant feature or service.
You may not assign these Terms without FoodPlug’s prior written consent. FoodPlug may assign these Terms as part of a merger, reorganization, financing, sale of assets, or transfer of the Services, subject to applicable law.
If any provision is found unlawful or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect.
FoodPlug’s failure to enforce a provision is not a waiver of its right to enforce it later.
Headings are for convenience only and do not affect interpretation.
